Meal Buddy the website, app and other related sites and software enable customers to place orders for takeaway food and drinks from you, the merchant, either by delivery (by you) or collection (from you). By joining Meal Buddy or any one of its partner sites you (the merchant) agree to the following terms and conditions. If you do not wish to be bound by these terms and conditions then please do not proceed with your application.

These terms and conditions form a contract between you (the applying business or trader) and Meal Buddy Ltd (Meal Buddy)

Meal Buddy may, upon 1 months prior written (email) notice, amend the terms of this Agreement. The merchant has the right to object to the amendments and terminate this agreement; this objection must be lodged in writing within 14 days of the notification. If no objection is received such amendments shall thereafter be construed as forming part of this agreement and accepted by the merchant.


You agree that you will remain on the site as an active member for an initial term of 12 months from the date of store activation. Thereafter the contract will go on to a rolling contract requiring no less that 30 days notice from the merchant should they wish to terminate the agreement.
We reserve the right to terminate the agreement by giving written notice to the merchant without further liability to the merchant.
Upon termination the merchant agrees to pay any outstanding monies owed to Meal Buddy.


The merchant agrees that it does and will continue to comply with all applicable laws and regulations including, without limitation in relation to health and safety, VAT, tax, data protection and food standards, hygiene and information, and will provide reasonable evidence to Meal Buddy of such compliance if so required.
The merchant shall at all times comply with the Website terms and conditions. The Website terms and conditions are hereby incorporated into this Agreement. In the event of any conflict between this Agreement and any Website terms and conditions, the terms of this Agreement shall prevail.
The merchant agrees that we have the right to inspect their premises in order for us to be satisfied of the compliance with these clauses.


Meal Buddy will charge you, the merchant, a transaction fee of a rate of not less than 10% on the gross value of each order or a monthly membership fee as described in the partner website.
We reserve the right to charge the customer a transaction fee (currently 50p) for any orders paid by credit card. This fee will be recovered from you when you request a withdrawal.
We reserve the right to increase our rates after the initial term by giving the merchant 30 days notification.
You are to pay any outstanding monies on demand.
All services are quoted exclusive of VAT. At the time of creating these terms and conditions (01/04/17) Meal Buddy was not VAT registered. You will be given notification, when our VAT position changes and from that point onward all services will incur VAT charged at the applicable rate.


You agree to receive, process and deliver / make available the customers orders placed via the website and received by Meal Buddy.
Food delivered or collected must correspond to what is stated in the order, and must take into account any customer special notes submitted with the Orders including without limitation customer allergies.
You agree to accept, where possible, all orders placed. In cases where you are not able to accept an order you must reject the order immediately via the app or back office.
It is the responsibility of the merchant to ensure that payment has been made for the order. Payment status is confirmed on the food order app and the back office. Meal Buddy shall not be held liable for any monies not collected by the merchant.
It is the responsibility of the merchant to ensure that delivery is made to the correct address and that orders collected are given to the correct customer. Meal Buddy shall not be held liable for any errors in delivery or collection.
Any refund or price reduction given by the merchant to the customer shall not affect the charges made by Meal Buddy to the merchant in relation to the original order.
The merchant shall provide the customer with an official receipt in respect of an order if the customer so requests.


You agree to check on the accuracy of any information contained in your menu provided to Meal Buddy for inclusion on the website.
It is the sole responsibility of the merchant to ensure that the menu complies with any applicable laws and regulations, including but not limited to Allergen information.
You agree that the prices displayed on Meal Buddy shall be the same as the prices charged or offered in your premises.
You agree not to offer discounts or offers that are not also available on the website.
The merchant accepts full responsibility for any errors and omissions that may occur on the website menu.
Meal Buddy reserves the right to make an administration charge for any changes that are requested by you the merchant.


You agree to display reviews and comments on the services provided by you to your customers.
Meal Buddy will only remove reviews that it considers explicit, offensive, or breach guidelines outlined in the Meal Buddy general terms and conditions Meal Buddy assumes no responsibility of liability for any of the reviews left on the site.


You are responsible for requesting to withdraw monies from your merchant account to your own chosen account. The requested amount (less credit card charges and commission on cash orders) will be transferred to your chosen bank account within the number of days specified on your control panel.
The merchant must notify in writing (or by email) prior to any change in ownership of the business or any change to the banking details.
Meal Buddy cannot be held responsible for any damages or losses incurred due to the failure to provide timely notification of a change in details.
If, according to the balance, monies are owed to Meal Buddy from the merchant then that sum shall be payable within 7 days of invoice.
Meal Buddy reserves the right to charge interest and administration charges if monies are not paid within 7 days.
If any charge back is applied from the credit card company then this shall be the responsibility of the merchant and no monies will be due from Meal Buddy. Meal Buddy still retains the right to charge commission and any other applicable charges on the original order.
If you disagree with the statement produced by Meal Buddy you must notify us with 7 days of receipt of the statement.


Whilst the Meal Buddy website is intended to be available and functional 24 hours a day we reserve the right to interrupt the access to the website at any time and without notice in order to maintain and update the website.
Meal Buddy accepts no liability for any losses incurred during periods when the site is not available for whatever reason.


Meal Buddy shall be entitled to assign all or any of its rights and obligations under this Agreement to any third party.
The merchant may only assign, transfer, charge, subcontract any of its rights or obligations under the Agreement to a third party with express prior written consent from Meal Buddy.
If any of the terms or conditions of this Agreement is declared wholly or partly invalid, illegal or unenforceable, the remainder of this Agreement shall remain in full force and effect. Any invalid terms or conditions shall be modified where possible to make it valid, legal and enforceable.
The merchant fully indemnifies Meal Buddy against any losses, damages or claims (and all related costs) made against Meal Buddy by a customer or any third party in connection with the merchants failure to deliver or the imperfect delivery of a Meal Buddy order or the merchants failure to comply with this Agreement and/or any applicable laws, rules and regulations in force at the relevant time.
